International Trade: Drafting and negotiating commercial contracts; providing preventive legal advice on sales and distribution agreements; issuing legal opinions on the selection of appropriate Incoterms according to the nature of the goods and the chosen mode of transport. Managing disputes between suppliers and buyers arising from non-performance, including claims related to product quality, quantity shortages, damaged goods, and contract termination.
Internal Audit & Compliance: Conducting internal audits for import–export companies covering international procurement processes, logistics operations, and quality control systems. Drafting and implementing standard operating procedures (SOPs) for each department.
Corporate Law: Company incorporation, legal due diligence, and mergers and acquisitions (M&A). Drafting corporate documentation, including articles of association, shareholders’ agreements, and registration filings. Acting as secretary to the board of directors.
Trade Finance & Payment Instruments: Advising on international financing and payment methods, including letters of credit (irrevocable, revolving, confirmed) and export financing facilities.
Transport & Risk Management: Advising on the most appropriate contract of carriage in light of the selected Incoterm, with particular attention to risk allocation, insurance coverage, and the suitability of the transport mode in relation to the characteristics of the goods.
International Business Law: Drafting joint venture, agency, and distribution agreements in compliance with domestic and EU regulations. Handling issues related to contract termination, including indemnities and damages, as well as governing law, jurisdiction, arbitration, and mediation clauses.
